Terms of Service

1. Acceptance of Terms

Welcome to Wild Academy! By accessing or using our self-hosted learning platform ("Service"), you agree to be bound by these Terms of Service and Conditions ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Wild Academy ("we," "our," or "us"). We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Eligibility

To use Wild Academy, you must:

  • Be at least 13 years of age (or the age of majority in your jurisdiction)
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate and complete registration information

Users aged 13-18 may require parental or guardian consent depending on local regulations. Organizations are responsible for ensuring compliance with age restrictions for their members.

3. Account Registration & Security

3.1 Account Creation

  • You must create an account to access most features
  • You may authenticate via Google OAuth, Discord OAuth, or email/password
  • You are responsible for maintaining the confidentiality of your credentials
  • You must notify us immediately of any unauthorized access
  • One person or legal entity may maintain only one active account

3.2 Account Responsibilities

You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Accept all risks of unauthorized access to your account
  • Not share your account with others
  • Not impersonate any person or entity

3.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion for violations of these Terms, illegal activity, or abuse of the Service. You may delete your account at any time through your profile settings.

4. Subscription Plans & Payment

4.1 Plan Types

Wild Academy offers multiple subscription tiers:

  • Free: Limited access to lessons and AI Credits
  • Starter: For curious learners who want guidance without overwhelm.
  • Growth: For founders and professionals ready to move with clarity.
  • Pro: For builders who want deeper support and maximum momentum.
  • Enterprise: Custom access and features for organizations.

4.2 Billing & Payment

  • Subscriptions are billed monthly or annually in advance
  • Payment is processed securely through Stripe
  • You authorize recurring charges to your payment method
  • Prices are subject to change with 30 days' notice
  • AI Credits are non-refundable except as required by law
  • Failed payments may result in service suspension

4.3 Free Trials

Free trial periods may be offered for certain plans. You must provide payment information to start a trial. If you do not cancel before the trial ends, you will be charged for the subscription.

4.4 Cancellation, Refunds, AI Credits, Upgrades & Downgrades

  • Cancellation Policy: You may cancel your subscription at any time. When you cancel a subscription, you cancel only future charges associated with it. Your access will remain active through the end of your billing period, and the cancellation will become effective at the end of your current billing period.
  • Refund Policy: No partial refunds for unused time within a billing period. You may request a refund only if you have spent less than 20% of your monthly Willa credits, up to 2 days after purchasing monthly memberships, and up to 7 days after purchasing annual memberships.
  • Upgrades Policy: Plan upgrades are available immediately with prorated pricing.
  • Downgrades Policy: Downgrades take effect at your next billing cycle or renewal date.
  • AI Credits: Willa credits included with each plan reset monthly and do not roll over. Extra Willa credits are non-refundable.

5. Organization Subscriptions

5.1 Seat-Based Licensing

  • Organizations purchase a specific number of seats (user licenses)
  • Each active member occupies one seat
  • Exceeding seat limits requires upgrading to a higher tier
  • Seat utilization is monitored and enforced

5.2 Content Bundles

Organizations receive access to specific content bundles determined by their subscription. Members can only access courses included in their organization's bundle and cannot browse or generate paths from other content.

5.3 Administrator Responsibilities

Organization administrators are responsible for:

  • Managing member invitations and access
  • Ensuring compliance with these Terms by all members
  • Maintaining accurate billing information
  • Respecting intellectual property rights

6. Willa (AI Companion) & Acceptable Use

6.1 AI Features

Willa, our AI learning companion powered by advanced AI technology, is available to all users. Usage is subject to message limits based on your subscription tier.

6.2 Prohibited AI Use

You may not use Willa to:

  • Generate illegal, harmful, or offensive content
  • Attempt to reverse engineer or extract the AI model
  • Abuse the system through automated requests or spam
  • Bypass usage limits or restrictions
  • Violate third-party rights or applicable laws

We reserve the right to suspend or terminate your account at our discretion for violations of these Terms, illegal activity, or abuse of the Service.

6.3 Artificial Intelligence and No Professional Advice Disclaimer

Wild Academy may provide access to artificial intelligence tools, including our AI Companion ("Willa"), to support learning, reflection, and skill-building. Wild Academy's AI Companion ("Willa") is provided for educational and informational purposes only. Do not share confidential or sensitive information (such as financial account numbers, legal disputes, or personal health details) when using the AI Companion.

You acknowledge and agree that:

  • While we aim to offer helpful guidance, AI-generated responses may be inaccurate, incomplete, or outdated. AI-generated content may contain mistakes, inaccuracies, or omissions
  • Outputs are provided for general educational purposes only
  • Wild Academy is not a law firm, accounting firm, financial advisory service, or licensed professional service provider. Wild Academy does not provide legal, financial, tax, accounting, medical, or other professional advice.
  • Nothing on the platform constitutes legal, financial, tax, accounting, or other regulated professional advice. Any information provided through the platform, including through Willa, should not be relied upon as a substitute for advice from qualified professionals.
  • You are solely responsible for evaluating the accuracy, completeness, and usefulness of any information provided and for consulting licensed professionals before making business, financial, legal, or tax decisions. You are solely responsible for verifying any information before acting on it and for seeking appropriate professional support when needed. Your decisions are always your own.

7. Learning Content & Intellectual Property

7.1 Content Ownership

All learning content, including courses, lessons, videos, resources, and platform features, are owned by Wild Academy or our licensors and are protected by copyright, trademark, and other intellectual property laws. Materials may not be reproduced or distributed without prior written permission.

7.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and view learning content for personal educational use
  • Download resources provided with courses for personal use
  • Download certificates issued upon course completion

7.3 Restrictions

You may not:

  • Copy, reproduce, or distribute content without permission
  • Modify, create derivative works, or reverse engineer platform features
  • Remove copyright notices or proprietary markings
  • Share your account credentials to allow unauthorized access
  • Use content for commercial purposes without written consent
  • Scrape, crawl, or use automated tools to access content

8. Certificates & Verification

  • Certificates are issued upon successful completion of courses
  • Each certificate contains a unique ID and digital signature for verification
  • Certificates are issued in your name as provided in your profile. You are responsible for making sure your name is correctly written.
  • Certificate records are retained permanently for verification purposes
  • We reserve the right to revoke certificates obtained through fraud or violation of these Terms
  • Certificates do not constitute professional credentials or certifications unless explicitly stated

9. Prohibited Conduct

You agree not to engage in any of the following:

  • Violating any applicable laws or regulations
  • Infringing on intellectual property rights
  • Transmitting viruses, malware, or harmful code
  • Attempting to gain unauthorized access to systems
  • Interfering with other users' access or enjoyment
  • Harassing, threatening, or abusing other users
  • Posting false, misleading, or deceptive information
  • Using the Service for any illegal purpose
  • Manipulating gamification systems or leaderboards
  • Creating multiple accounts to abuse free trials or features

10. User-Generated Content

10.1 Your Content

You retain ownership of content you submit (profile information, feedback, AI chat messages). By submitting content, you grant us a worldwide, royalty-free license to use, store, and display your content as necessary to provide the Service.

10.2 Content Standards

Your content must not:

  • Be illegal, harmful, or offensive
  • Infringe on third-party rights
  • Contain malicious code or viruses
  • Violate privacy or publicity rights

10.3 Content Moderation

We reserve the right to review, monitor, and remove user content that violates these Terms, but we are not obligated to do so.

11. Privacy & Data Protection

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

12. Third-Party Services & Links

The Service may contain links to third-party websites, services, or integrations (Stripe, AI services, OAuth providers, Cloudflare R2). We are not responsible for the content, privacy practices, or terms of these third parties. Your use of third-party services is at your own risk.

13. Disclaimers & Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

  • Merchantability and fitness for a particular purpose
  • Accuracy, completeness, or reliability of content
  • Uninterrupted or error-free service
  • Security of data transmission
  • Results from using the Service

We do not guarantee that the Service will meet your requirements or that any errors will be corrected.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WILD ACADEMY SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, or goodwill
  • Service interruptions or security breaches
  • Errors in AI-generated content
  • Actions of other users
  • Third-party services or integrations

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Wild Academy, its officers, directors, employees, volunteers, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your use of the Service
  • Your content or actions
  • Your violation of third-party rights
  • Your violation of applicable laws

16. Dispute Resolution & Governing Law

16.1 Informal Resolution

Before filing a claim, you agree to contact us at wildacademy@wildaccelerator.org to attempt informal resolution.

16.2 Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the state of Kentucky, except for disputes related to intellectual property rights or injunctive relief.

16.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kentucky, without regard to conflict of law principles.

16.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

17. Termination

17.1 By You

You may terminate your account at any time by accessing your profile settings and selecting the delete account option. Upon termination, your subscription will continue until the end of the current billing period.

17.2 By Us

We may suspend or terminate your access to the Service at any time for:

  • Violation of these Terms
  • Illegal activity or abuse
  • Non-payment of fees
  • Discontinuation of the Service

17.3 Effect of Termination

Upon termination:

  • Your access to the Service will be revoked
  • Your data will be deleted according to our Privacy Policy
  • Certificates will remain verifiable
  • No refunds will be provided for unused time
  • Provisions that should survive termination will remain in effect

18. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Wild Academy
  • Severability: If any provision is found invalid, the remainder shall remain in effect
  • No Waiver: Our failure to enforce any provision does not waive our right to do so later
  • Assignment: You may not transfer your rights; we may transfer ours with notice
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our control
  • Notices: Legal notices must be sent to wildacademy@wildaccelerator.org

19. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service. Your continued use after changes constitutes acceptance. If you do not agree to the modified Terms, you must stop using the Service.
